Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Switchboard platform and related services (collectively, the "Service") operated by Switchboard ("Switchboard," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
Switchboard is a B2B software platform that facilitates due diligence processes in mergers and acquisitions transactions. The Service enables legal professionals and their clients to manage question flows, collect document uploads, and organize diligence responses in a centralized, structured environment.
2. Eligibility and Authorized Users
The Service is intended solely for business users, including attorneys, advisors, and corporate clients involved in M&A transactions. You must be at least 18 years old and have the authority to bind your organization to these Terms. By using the Service, you represent that you meet these requirements.
Each user account is personal and non-transferable. You are responsible for all activity that occurs under your account credentials.
3. Account Registration
You may be invited to the Service by an authorized deal administrator. You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You are responsible for maintaining the confidentiality of your credentials and for all actions taken under your account.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- Upload or transmit malicious code, viruses, or any content that infringes third-party rights;
- Attempt to gain unauthorized access to any part of the Service or its infrastructure;
- Scrape, reverse engineer, or resell the Service without our prior written consent;
- Use the Service to transmit unsolicited communications or to harass others.
5. Intellectual Property
All rights, title, and interest in and to the Service, including its software, design, trademarks, and content created by Switchboard, remain the exclusive property of Switchboard. These Terms do not grant you any right to use our trademarks or branding without prior written approval.
You retain all rights to the content you upload or submit through the Service ("User Content"). By submitting User Content, you grant Switchboard a limited, non-exclusive license to host, store, and display that content solely as necessary to provide the Service.
6. Confidentiality
You acknowledge that diligence materials exchanged through the Service may be confidential. Switchboard will not disclose your User Content to third parties except as required to operate the Service, comply with law, or as you explicitly authorize. You are responsible for ensuring that your organization's confidentiality obligations are satisfied through any separate non-disclosure agreements governing your transaction.
7. Data and Privacy
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described therein.
8. Fees and Payment
Access to the Service may be subject to subscription fees as agreed between Switchboard and the applicable account administrator. All fees are non-refundable unless otherwise specified in a separate written agreement. Switchboard reserves the right to update pricing with reasonable advance notice.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SWITCHBOARD DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SWITCHBOARD AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL SWITCHBOARD'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO SWITCHBOARD IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
11. Indemnification
You agree to indemnify, defend, and hold harmless Switchboard and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.
12. Termination
Switchboard may suspend or terminate your access to the Service at any time, with or without cause, upon reasonable notice. You may discontinue use of the Service at any time. Upon termination, provisions of these Terms that by their nature should survive will survive, including Sections 5, 6, 9, 10, 11, and 13.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall first be subject to good-faith negotiation, and if unresolved, submitted to binding arbitration in accordance with the rules of the American Arbitration Association, with proceedings conducted in English.
14. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page and, where material, provide additional notice (such as by email). Your continued use of the Service after any update constitutes your acceptance of the revised Terms.
